The Final ATV Transaction Part 1 - The Defrauding of Michael Jackson

After “The Defrauding of Michael” Meeting

Above was my favorite Bee Gee’s song.  This song introduced me to the Bee Gee’s.  I heard it for the first time, in the car as I was being driven to school my first year of high school.  I remember originally thinking it was Frankie Valley, because I didn’t know disco, I only sang Country and Western back then, LOL!  I never knew the lyrics included mention of the New York Times and I thought considering the topic that it would be appropriate to include it.

From the previous blog, we covered some of those attending that January meeting, where Branca, Modabber, Michael’s accountant Whitman, Al Malnik among others.  Source

If the main object of all this attempt to sabotage Michael and his business was the ATV catalog, then let’s take a deeper look at the transactions involved with this goldmine.

The first one involving Michael was the 1985 purchase of the catalog, in which Branca, as Michael’s lawyer at the time, brokered that deal.  Those involved with the bidding ask discussed on this blog update, was Martin Bander and Koppelman as SBK Entertainment, Bandier and Koppelman separately, Charles Knapp the Savings and Loan jailbird and LeFrak with whom Bandier previously worked and who’s niece he had married.



The ATV transactions involving Michael started here:

August 1985 - sold off ACC's assets including Central Independent Television and ATV Music publishing interests. In the 1980’s, Martin Bandier was managing the catalog briefly before A’Court sold it off. A bidding war between Michael Jackson and Martin Bandier, who banded with his partner in SKG Publishing (Charles Koppelman), their entity SKG and Bandier’s previous employer and father-in-law, Sam LeFrak. They were able to outbid Michael, but Michael had ready cash and a promise to take part in a telethon in A’Court’s hometown of Perth.

Late 1993 – Management of the ATV catalog is turned over to EMI under Martin Bandier. John Branca negotiated the deal. Michael gets a $70 million a year advance on the estimated earnings, for five years. This will help Michael financially after having to dump concert dates to deal with the extortion attempt, other lawsuits and the short stint needed for treatment of prescription drug dependency.

1995 – Branca brokers a deal between Michael and Sony to have Sony partner with Michael in the ATV publishing business. Sony pays Michael an estimated $90 million for 50% stake. EMI is still managing the catalog until 1998 when it’s contract is up. Looking at the EMI deal compared to the Sony deal, one has to wonder just how Sony got away with paying only $90 million of Bandier was paying Michael $70 million a year advance over five year’s earnings.

2001 – During the beginnings of the “Invincible” battle, rumor is fed to the press that Michael may sell his “Beatles” catalog. Michael fights back, declaring it will never be for sale. The catalog acquires Tony Mae Music Catalog of 600 songs.

2002 – Sony/ATV purchases 55,000 song catalog Acuff-Rose for $157 million.

2003 to 2005 – Michael battles a second allegation, is arrested and tried for child molestation. Before his trial, Michael refinances to attempt to purchase Sony’s half of the ATV catalog, but withdraws during the heat of the trial.

Let’s take each of these highlighted years and look at what else was going on during that time with these players and Michael’s life.

Between 1985 and 1993, Michael had been, according to Frank DiLeo, talked into dropping Frank as his manager by several lawyers, including Branca and an “outside” record executive which most assumed to be Bandier.  Michael attended Branca’s wedding in 1987. Frank was fired in 1988.  1991, Michael signed onto record label with Sony when they bought out CBS records.  1993 Michael began dating Lisa Marie who at that time had been promised a contract from Tommy Mottola.

Late 1993 – Lisa Marie Presley helped talk Michael into letting EMI manage his ATV catalog (under Marty Bandier).  By late 1993 Marty was still co-chair of EMI and Koppelman moved up to CEO of EMI in March of 1993.  Did you know that Koppelman was also vice president of CBS records through the 1970’s, during the time that Michael was just starting out as a solo artist with that lable?  Source 

1968-70; CBS Records Group, vice president/national director of A&R and vice president/general manager of worldwide publishing, c. 1970-75; Entertainment Company, cofounder and CEO, 1975-86; SBK Entertainment World, Inc., cofounder, 1986-89, Chairman/CEO, 1989-91; EMI Music Publishing, Chairman, 1989-91; three-label consolidation of EMI Records Group North America, Chairman/CEO, 1991-93; EMI Records Group North America, Chairman/CEO, 1993.

Michael is accused of child misconduct toward the end of 1993 by Evan Chandler, father of Jordan Chandler.

1995 – Branca brokers the deal (Lisa Marie involved in talking Michael into it, unclear what she was supposed to get out of it, but Pricilla was after the 60 Elvis songs Michael had under that catalog) for Michael to partner the ATV with Sony.  However, The catalog was also still under management with EMI until the five year contract was up. That would take it up to 1998.  This was a completely unnecessary and revenue-bleeding venture.  Between Bandier taking hunks of fees for managing it and Sony now sucking 50%, just what was Michael getting out of this between 1995 and 1998?  The financial lancing of Michael Jackson had begun in earnest.  Remember also Michael was still fighting off Sneddon, who was still advertising for people to testify against Michael, on the world wide web.



Between 1998 and 2001 – Michael divorces Lisa Marie, completes the “History” tour, Marries Debbie Rowe had has his two children Prince, and Paris.  A battle building behind the scenes begins making it’s way to the press as Michael prepares music for the “Invincible” album.  This battle hits the press after Michael’s post 9-11 Charity single, “What More Can I Give” produced by Marc Schaffel, is scorned and shut down by Sony and Tommy Mottola.  It is during this time that I believe Michael is discovering and in complete understanding of what is going on around him and the depth of the corruption around him.  His new friend Malnik, met through Brett Ratner is discovered having dealings with Mattola behind Michael’s back. 


Sony Fight

2001 – 2003 – Michael goes public with the “Sony Sucks” campaign, launching protests in London and New York.  Michael discovers, through Marc Schaffel, that all is not well in his management team.  Michael fires Branca and Trudy Green and escapes Al Malnik at the same time that Martin Bashir, who had been given access to Michael through Uri Gellar (London, and Boteach the Charity scam artist) releases the dreadfully edited “Living with Michael Jackson”. This prompts an investigation by Santa Barbara Authorities headed still, by the uncontested D.A. Sneddon.

As controversy around the documentary heated up throughout 2003, what followed was a never-ending onslaught against Michael.  Still plagued by rogue lawsuits by people he had mostly never met, the second coming of Sneddon , his November 2003 arrest in the middle of production of “One More Chance” and the 60 Minutes interview in which he testified to the abuse he endured during his booking, Michael’s “F-Team” was preparing a “financial suicide” deal that they expected to shove in Michael’s face in an attempt to obtain an “impulse buy” of a loan that would eventually relieve Michael of not only his share of half the multi-billion dollar Sony/ATV publishing company (which before 1995 was HIS 100%), but would also lift his own creation’s publishing rights of Mijac Catalog off his traumatized shoulders.

Must have been a shocker when Michael told them to take a flying leap off a high cliff.

After everything Michael had done to put these people on the map.  After spending more money than he lived off of on children’s charities in his lifetime and after making the worldly condemned mistake of mentioning God and praying in 2/3rds of the songs he ever wrote and talking about or mentioning God in every single interview he ever gave, this  . . . THIS is how they treated him!

Tomorrow, I want to follow the Sony/ATV and Michael through 2005, taking his illustrious little “F-Team” with  him.

    First, I have to comment on the charming post above {many expletives] - but I don't get what "threats" they are referring to. I have certainly never heard you make mention of any threats on this blog. So, my question is who is "deranged" and I certainly haven't witnessed you personally attacking the way anybody may look (by the way, I don't think you look fat but even if you were to be obese, where do they get off attacking people for their physical attributes - that's extremely low and childish) none of it is relevant.

    So, my second question is who is "nasty". These sentiments are so anti Michael Jackson because Michael said that he always taught his children never to hurt anybody's feelings. What has happened to the MJ Community Bonnie? These tactics are out and out bullying.

    BTW, I was reading some Twitter posts and linked to another who was complaining that Charles Thompson make derogatory comments about autism and aspergers. Finally, he shows his hand. Anyway, the lady whose Twitter I was reading happened to have an autistic child so you can imagine how that went down. Anyway, I went looking on his Twitter and guess what, he now refers to his admirers as his "fanbase". Oh my - the ego is alive and well. So, TwistedVision now has a "fanbase". How his star has risen. It's amazing what a bit of cutting and pasting will achieve when it's reworked. Notice that little of CT's research for his articles is original - most has been taken from Aphrodite Jones book but simply summarised and reworded by him.

    Bonnie, to get back to your blog today, you ask:

    I think Michael covered this in his "Killer Thriller" speech - photo above with Michael holding poster up "Sony Kills Music". Michael said that he did good business. How, because he ended up owning half of Sony Music Publishing and think about how much that publishing catalogue has expanded in size and value over the years. Half of Sony Publishing - today I think it is the second largest isn't it? Michael sold his half of ATV to Sony for a song true BUT what is it worth now? Michael did do good business because he is/was smart, but unfortunately it became an albatross around his neck. Jealousy, greed, avarice and perhaps some old fashioned racism - one way or another, they were not going to allow Michael to get away with his coup. A black boy from a poor family in Indiana owning half of a giant corporation's publishing company? Unthinkable! Oh Michael, I just love you.

  4. Dear Bonnie, I did not understand, about the ATV catalog today: 50% remains in the Jackson family? I hope that nothing has changed, right? The Sony or the "dear" Branca can not 'touch anything, right? Why 'Michael had not yielded to blackmail, right? Therefore, the sons of Michael inherit the famous catalog.
    I hope that Michael has not fought in vain!

    I am very glad that you can laugh at that ignorant comment you posted. That's the best way to treat nonsense like that. Unfortunately, people like that are the very ones trying to take over the MJ fan community.

    You are doing a great job Bonnie. No one should feel threatened when all you are doing is posting articles that are there for anyone to see.(wink) Thank you for putting the attempted fleecing of Michael in chronological order.

    I would imagine that Michael was hoping that a joint venture with Sony would get them off his back. From what I understand, he made Sony sign a deal that prevented them from signing new songwriters - they had to go through Sony/ATV to do that. So Michael was giving them a little and taking from them a little - seems fair to me. But someone obviously wanted more, more ,more. Michael was probably hoping the deal with Sony would satisfy them, but it appears to have enraged them.

Charles is typical of the mentality of the narcissism in "me" generation today. Compassion is only valuable when it is handed to them.

    Has anyone noticed that Thomson, Halperin, Taraborrelli, Friedman, Roberts and Even Chandler all seem to have a common contempt for not only Michael but for people of faith or who talk about their faith, as if it is some disease? You look at Thomson's comments about Michael Jackson in MJStar back in 2007 and the feeling I get is envy. Someone that can't have something someone else has or is talks like that . . . not normal people. It 's evil. And I'm sorry but you can't cover up your crimes with good deeds, especially if you can't even repent for them. Cont. . . . (this is a good post, Karin)

Has anyone ever heard Michael Jackson thank Geraldine Hughes for her book? Anyone ever hear Michel Jackson thank Taraborrelli or from 2007 - 2009 Charles Thomson for his "defense" of Michael over the press?

    >>> This is the answer to how Michael could have "allowed" certain people in his life. Michael did not need EMI to "manage" that catalog. He was coerced into that, BUT it ended up working to his favor in the growth of his share. Same with the partnering with Sony. Sony would have NOTHING if it weren't for Michael and they know it. They didn't want him to leave the label. Michael TOLD US how angry they were with him and it wasn't just over leaving the label, it was over the fact that Michael pretty much was taking most of their value with him . . . both with his work, his masters, his Mijac and the ATV. They couldn't make a move with a song without his okay. THAT they couldn't stand.

    You couple that with control of (at the time) the third largest music publishing catalog in the world and Michael's knowledge of what the music industry was aiming at our children . . . it's all over the place, Michael talking about the ability of music and movies to change lives and steer society through the minds of those who will be taking over when they grow up and that is powerful, powerful stuff!

    >>> Daniela, Michael's 50% of the ATV is in a trust, the Jackson family does not have it. Branca and whether he can touch that catalog or not is something that I am still researching so I can't comment on that here. Whatever deal Branca has with Sony and in the background, Mottola . . . whatever he's going to try hasn't happened yet. It was pointed out to me by someone who knows more about this than I do, that that "loan" Branca just refinanced SHOULD have been retired. It makes no sense not to pay it off. To be continued . . .

    I'm going through this video for the second time and at 10:55 Lauer is talking about the layout of the Living room at Neverland Ranch. You wonder why the inclusion of such a long segment of a past news item to make one point, but if you listen (I turned my speakers up the second time) at 10:55 when the entrance of the clip where the camera is scanning a still furnished Neverland, you hear Michael's voice very faintly in the background. I cannot hear what he is saying because LAUER is talking over him, but why did they leave his voice in there? Can anyone make out what he is saying?

    Also, sources used: Lauer, FRIEDMAN, This Jack Wishna who no one ever heard about until Michael died . . . same guy that testified that Michael left the Vegas Mansion he was renting, trashed.

    These videos supply some interesting information, but seem to have a hidden agenda.

    If we concentrate on the Colony/Sycamore/MJ info and those loans, I can tell you from my own research that Sycamore is still the listed owner of Neverland and it is still partnered with Michael and Colony, in which Colony owned a majority share. There is a reason for this.

    The business filings under Colony Capital that I covered several months ago had more to do than with just Neverland. When I first posted about that, I had some strong reaction and I'm still not sure if it is time to cover that.

    What is even more interesting is the information about Colony restoring Neverland posted back in December, to include Michael's restored and assembled rides at the amusement park, which followed the William Wagener discovery of his little Youtube video trying to depict a run-down and neglected Neverland.

    I do not at this time think it will serve Michael at all to cover the Colony stuff right now even though there are others that are. I can tell you that I don't agree with everything in that video, according to what I have. I already know they were on Michael's side and so do the bad guys. The rest concerning this is a P.R. battle confined mostly to online news sources, which in itself is interesting. (Not regulated yet?)

    I want to keep focus on Michael's "F-Team". I already see signs of distrust among them. These guys all want this catalog. If they were fighting over it in 2005, according to Michael on the Jesse Jackson Radio show interview, I doubt they trust each other any more than they did back then. Branca is the one they are going to have to watch.

  13. Bonnie – wonderful post. I know you are not discouraged by so called Michael’s "fans" who are continuously deceive him acting as if they are on his side, fact is they are not. I am sorry for those who are following Justice4none (some). The blogger is in delusional state or he is making a conscious effort to misleads and lies to his followers as if he knows Michael very well and what Michael went through in his life. You have no worry because the truth is on your side.

    I am going to keep reading, but I want to say the above and ask some questions that puzzled me first.

    Was Branca brokering a deal with Sony with 50% stake of ATV catalog an intended one to defraud him in the future? Was he also working with Sony secretly behind Michael every since 1995? This guy is crooked. IMO, the 70 million dollar a year deal with EMI was great, and I am not too sure what advantage Michael saw with the 50% stake with Sony.

  14. @Mimi - Branca did put together the deal to merge Michael's ATV catalog with Sony in 1995. Working against Michael since then? Yes. You'll see in tonight's blog when I put it up.

    EMI, I'm not sure of the benefit of the deal because I don't know what EMI got out of it aside from ownership in some of the songs in that catalog. No one has really itemized that deal with Bandier and his name is seldom mentioned in this even though he's been trying to have an affair with that ATV since he first bid against it in '85.

  17. Great blog again, Bonnie! I loved your video by Brandon Heath, and cried at the lyrics, which mirrored our precious Michael's purpose in life. No matter what, he always put others ahead of himself and I believe he raised the bar in reminding us through his deeds what it means to be a human being of goodness, generosity, fairness and purity of heart. Tragic as it is, it should not surprise us that an angel like Michael would be "caught in the cross hairs" of society's evil entities - sinister souls that will never survive the light of day. But little by little, you are helping to expose the evil...until one day the light will flush the rats out of their dark holes...and the Truth will prevail. Michael always believed that, and so must we. I am keeping the faith we haven't seen the last of his loving smile. My heart misses it...the world needs it.

    As for that pathetically immature blogger who blasted you, that sounded more like someone with some personal rage issues. It was not only anti-Bonnie, but anti-Michael, which makes me wonder why they bothered to post in the first place. What position were they taking, and who's side were they on? Hmm...I can name that tune in one note beginning with the letter "S." I'm glad you take it with a sense of humor, and you're right...free publicity! You know what they say..."I don't care what you print, as long as you spell my name right!" Well, they spelled your name right...and they posted the link to your blog.   19. Bonnie, about the possible identity of your attacker, yes, the name Taj M immediately sprung to mind way before you mentioned it. It's the dirty tactics club. Mind you, she's copping a lot of smearing herself. Her credibility has gone out the window and she's desperately trying to hold onto her "fanbase" (love CT's word - what a w . . . ker lol except he referred to it as "my fanbase").

    Aphrodite Jones and CT - Jones is a journalist. That is her living but she is a much superior journalist to CT (indeed, she actually does get paid for her professional abilities). I believe that she genuinely did have a lightbulb experience while reporting on Michael's trial but at the same time saw an opportunity to do an interesting book and get her name out there and maybe make some dollars. I think CT's just snowed her by writing that article in the Huff Post praising her work and book. We have to remember that mainstream media had been bashing Michael for years and years prior to June 09 and that we, Michael's admirers were angry and wanted him vindicated after the events of June 09. In rides TwistedVision our knight in shining armour, born again as CT and instead of slagging Michael off as he did in MJStar, he's now the new poster boy for Michael Jackson admirers. It's really not that hard. You just say you're a reputable journalist and you write a few articles saying that Michael Jackson was persecuted by mainstream media. Everybody loves you and then you get to have a "fanbase".

    Michael saying "I just did good business". What a genius. Good business indeed - it was a coup de grace. Hmm, I wonder if the idea came to him while he was sitting in the Giving Tree? Hee hee. It makes me happy but it also makes me sad because they put him through hell over it for years. Nothing was worth what he went through with that trial in 2005 - nothing.

  20. Spotlight sent me an email and I just had to post it. She is so sarcastic she should be in comedy.

    "LMAO! I saw this last night and wanted to comment, but I wasn't able to on the page. What is going on inside the head of Deborah Kunesh??? She goes on and on, blabbering about nonsense, and then says she knows God wanted her to share this with us? Share what? Her dirty tile floor? And she actually takes the time to photograph it? Did you see where she said it must have been a message from God to say that Michael was alright? If Michael was alright, then why is everyone walking all over his face on that floor? I looked hard and saw only a bunch of scuff marks...on Deborah's brain!

    The woman has lost it...geez!
